1. Provider and scope
The provider of Reclyra is Ömer Salmaz, trading as Reclyra, Philippsburger Straße 83a, 68753 Waghäusel, Germany. You can reach us at hello@reclyra.app and by telephone on 0177 6728643.
These General Terms and Conditions apply to the agreed use of the recruiting and applicant management platform Reclyra, including a free pilot and booked subscriptions. The offer is directed exclusively at entrepreneurs within the meaning of section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. Applicants do not become paying SaaS customers by submitting an application.
This version becomes part of a contract if it is validly incorporated when that contract is concluded. Its publication alone does not change existing contracts. Deviating customer terms apply only insofar as Reclyra agrees to their incorporation. Individual agreements take precedence; mandatory statutory rights remain unaffected.
2. Ordering and conclusion of the contract
The presentation of plans and features on the website is an invitation to book or to request a quote. It is not yet an acceptance of a specific customer order. Registration alone does not trigger a paid subscription.
The customer makes its offer by a binding booking or by accepting an individual quote. Reclyra accepts it by express confirmation or by the agreed activation. A technical acknowledgement of receipt does not in itself constitute acceptance of the contract. The start date, plan, price, billing interval and any special services result from the accepted booking or the individual quote.
The person acting must be authorised to place the order for the company concerned. Company, billing and contact details must be provided correctly and updated when they change. An obligation to pay for additional services arises only if they have been ordered and agreed.
3. Scope of services
Reclyra provides a web-based company workspace for the agreed recruiting tasks. Depending on the respective feature set, this may include job and application pages, applicant management, documents, criteria checks, notes, team mentions, messages, document requests, interview scheduling as well as export and deletion functions. The services expressly agreed and provided for the plan are decisive.
Custom message templates, native calendar connections and applicant comparison depend on the plan. External calendar and AI services additionally require the respective technical activation or connection. A plan description does not replace an activation that is still pending. Service obligations already agreed are not restricted by this.
Enterprise services and an individually offered Hiring Pass are agreed separately. Their presentation as an option to enquire about does not automatically give rise to a purchase, a particular term, a service level or additional costs. Roadmaps and features marked as a preview give rise to a claim to performance only if they have been expressly agreed.
Reclyra owes the agreed platform service. A particular number of applications, the filling of a position or the suitability of an applicant is not promised.
4. Pilot and quotas
The free standard pilot runs for 30 days. It does not require a credit card and does not automatically convert into a paid plan. It includes one published job, two team seats and a total of 50 successful AI analyses, insofar as the AI feature is activated. An expressly agreed individual pilot configuration may deviate from this.
When the pilot expires, the workspace is placed in a read-only mode. The end of the pilot does not trigger automatic deletion of all data. It does not give rise to an unlimited claim to free storage; return and deletion are governed by the provisions below and the agreed data processing agreement.
The limits stated at booking relate to published jobs, team seats and successful AI analyses. In the standard plan there is no quantitative plan limit for applications. Reaching the AI quota during a current usable plan does not block incoming applications, manual processing or reading existing results; further analyses wait for available capacity.
For subscriptions, the AI quotas apply per quota month from the respective billing start date, including where payment is annual. Unused quotas are not carried over. Analyses in progress reserve capacity; only a successful completion counts as consumption. Technical retries of the same analysis do not create additional successful consumption. A pilot quota or an expressly agreed total quota is not renewed monthly.
Exceeding a quota does not automatically lead to an overage invoice or the purchase of an add-on package. A paid extension requires a separate agreement.
5. Prices and payment
The prices and payment intervals agreed at booking apply. B2B prices are stated net, plus any statutory VAT that may apply. The tax treatment of the specific transaction is taken into account in the invoice.
Depending on the booking, subscriptions are billed monthly or annually in advance. A monthly comparison figure shown for an annual plan does not constitute monthly payment. One-off services are billed in accordance with the agreement made for them.
Payment may be processed via Stripe. The technical activation of a paid plan requires a confirmed payment and subscription status. If the status is displayed incorrectly, the customer can request a review via billing@reclyra.app. A technical error in payment reconciliation does not cancel existing contractual claims.
Invoices are made available or transmitted electronically. Due date and means of payment result from the booking or invoice. In the event of late payment, the statutory rights apply. Access may be restricted only insofar as this is legally permissible and proportionate in the specific case.
6. Term and termination
A monthly standard subscription runs for one billing month; an annual standard subscription runs for twelve months. Unless terminated, it renews for the respective booked interval. The customer may terminate up to the end of the current billing period with effect from the end of that period; no additional notice period is required for these standard subscriptions. Individually agreed contract terms remain decisive insofar as they have been validly agreed.
Termination may be declared via an account function provided for this purpose or in text form to billing@reclyra.app. It must identify the customer and the workspace concerned. For a timely termination by email, no additional confirmation by the customer in the payment portal is required.
The pilot ends after its agreed duration without any termination being required and without automatic paid renewal. A change of plan, additional services or paid continuation require a corresponding agreement.
Non-use or removal of a means of payment does not replace termination. The right of both parties to terminate for good cause and mandatory statutory switching and termination rights remain unaffected.
7. Accounts and authorised use
The customer designates authorised persons for its workspace and is responsible for assigning and regularly reviewing their roles and job access. Accounts are to be used personally. Login credentials must not be shared; lost access, departed persons and unauthorised access must be reported without undue delay or remedied using the available functions.
For the term of the contract, Reclyra grants the simple, non-exclusive right to use the platform to the agreed extent for the customer's recruiting purposes. This does not give rise to a right to the release of the source code or to use beyond the agreed scope.
- Access protection must not be circumvented; unauthorised access to other workspaces and data is prohibited.
- No malware, load attacks or security tests without prior agreed authorisation.
- No unlawful content, discriminatory use or infringement of the rights of other persons.
- No reverse engineering of the software, unless this is mandatorily permitted by law.
8. Customer content and responsibility for recruiting
The customer retains its rights to the content it provides. Reclyra receives only the rights of use required for the agreed provision, processing and security of the service. The processing of personal data is additionally governed by the agreed data processing agreement and the statutory requirements.
The customer is responsible for the lawfulness of its job advertisements, selection criteria, messages, document requests and personnel decisions. It ensures that the necessary legal bases, privacy notices, authorisations and, where applicable, the participation rights of employee representative bodies are observed.
Only necessary data may be requested and processed. Special categories of personal data must not be processed without the required legal basis. Free upload options or technical evaluations do not replace this assessment. The customer reviews retention periods and handles data subject requests within the scope of its responsibility.
9. AI assistance and human decision-making
AI features support the structuring of CV information and its comparison with job-related criteria. Results, evidence and confidence values may be wrong, incomplete or misleading. They are not a binding determination of suitability and must not replace an independent human review.
Missing or not clearly evidenced information is treated as unclear. In the intended analysis procedure, marking a criterion as not met requires an evidenced, explicit contradiction; this indication must also be checked against the original documents. The customer can use the available reasoned criteria corrections and must resolve uncertainties before making its decision.
The customer must not make any hiring or rejection decision derived solely from an AI result. Criteria must be professionally relevant and legally permissible. The evaluation of protected or irrelevant characteristics and the circumvention of human oversight are not covered by the agreed purpose.
The customer is responsible for informing applicants, instructing users and carrying out the data protection and AI law assessment required for its use. Reclyra's technical information does not constitute legal advice or a guarantee that a recruiting procedure is legally compliant.
10. Data protection and confidentiality
For personal data that Reclyra processes on behalf of the customer, a data processing agreement pursuant to Art. 28 GDPR is required. It governs in particular instructions, protective measures, sub-processors, assistance and the return or deletion of data. In the area of data processing on behalf of the customer, it takes precedence over these Terms. The publication of a data processing agreement text alone does not yet document the conclusion of an individual contract.
Insofar as Reclyra processes data for its own purposes, such as contract administration, billing and its own abuse prevention, this is explained in the privacy policy. Data protection questions and instructions can be sent to privacy@reclyra.app.
The parties treat non-public customer content as well as confidential commercial, technical and personal information of the other party as confidential. Access is granted only to persons who need it for the respective task and are bound to confidentiality. Lawful disclosures on the basis of mandatory statutory obligations remain possible; they must be limited to what is necessary.
11. External services and integrations
Optional Google or Microsoft calendar connections are used only after an authorised connection of the account concerned. The customer must be authorised to grant access and must observe the terms and any licences required for the external service. A Reclyra feature does not make a third party's paid services free of charge.
Interfaces and the availability of external services may change. Reclyra informs about material effects on agreed services and takes reasonable adjustments into account. The involvement of a service provider does not release Reclyra from its own contractual or statutory obligations.
12. Operations, support and changes
Support requests can be sent to support@reclyra.app. For standard plans, no particular percentage of minimum availability, fixed response times or 24/7 standby are agreed. Such service levels apply only if they are expressly promised in a separate agreement. The obligation to provide the agreed service and statutory warranty rights remain in place.
Maintenance, security measures or disruptions may temporarily affect use. Reclyra takes the interests of customers into account and, where possible, announces plannable material restrictions in advance. The customer supports the fault analysis with a comprehensible description and limits any personal data transmitted to what is necessary.
Reclyra may develop the service technically as long as the agreed core scope is maintained and the customer does not suffer any unreasonable impairment. A change to the price, term or essential scope of services of existing contracts requires a valid agreement or a statutory basis. These Terms do not deem silence in response to a notice of change to be consent.
13. Restrictions and termination for good cause
Where there are specific indications of unauthorised access, misuse, unlawful use or a significant threat to persons and data, Reclyra may take necessary protective measures. Restrictions must be limited to the necessary extent and period. The customer is informed of the reason insofar as this is legally and security-wise possible.
Termination for good cause is governed by the statutory requirements. Where necessary, a reasonable opportunity to remedy or a formal warning must be given beforehand. Immediate action remains possible if the statutory requirements for it are met. This provision does not establish a right of termination at will during a fixed agreed term.
14. Data export and switching providers
Authorised workspace managers can use the applicant-related export functions provided. The structured data export contains application data and associated workflow data; original files are provided separately via protected downloads. A PDF summary is not a complete backup of all workspace data. The rights of other persons and existing authorisations must be observed when exporting and passing on data.
A switch to another data processing service, transfer to the customer's own IT environment or deletion at the end of the contract can be requested in text form to support@reclyra.app. The customer names the workspace and the desired procedure and, in the case of a change of provider, also the destination service. The parties agree on the secure handover and the necessary cooperation. Statutory switching rights are not limited to existing self-service functions or their technical individual file limits.
Insofar as the switching provisions of the Data Act apply to the agreed service, its requirements apply in particular regarding the maximum two-month notice period, the transitional period of, in principle, no more than 30 days and the subsequent retrieval period of at least 30 calendar days. Statutory requirements for a justified technical extension and the customer's extension rights remain unaffected. The legally required assistance, security and continuity of the service during the switch remain owed.
To the extent owed by law, the data to be released includes the input and output data generated by the customer's use, including associated metadata and digital assets. Internal software worthy of protection, source code and trade secrets are excluded only to the extent permitted by law; such an exception must not unlawfully prevent the switch. Customer data is not excluded merely because it is stored in an internal data structure.
These Terms do not provide for any additional switching charge. Remuneration for separate services requires a prior agreement and must not circumvent mandatory statutory prohibitions or limits on switching charges. Agreed fees for the service provided until effective termination and statutory reimbursement claims remain unaffected.
15. End of contract, retention and deletion
The customer should back up required data in good time and notify Reclyra of its instruction regarding return or deletion. Statutory rights to release, switching and deletion remain even if not all self-service functions have been used beforehand.
After the end of the data processing on behalf of the customer, personal data is returned or deleted at the customer's choice and in accordance with the data processing agreement and the statutory requirements. Necessary statutory retrieval periods must be taken into account. A period for return or deletion must not be extended indefinitely by merely continuing the read-only mode technically.
A retention period set in the workspace generates a deletion preview from the documented time of rejection. It does not trigger automatic deletion of applications. The authorised person confirms the specific deletion after a current preview. Associated files are removed in a separate clean-up process that can be retried in the event of errors. Other applications by the same person are retained.
Files already downloaded, messages delivered and backup copies have their own storage cycles. Deleting a workspace does not automatically recall these copies and does not simultaneously delete all backup copies held by service providers. Reclyra's own deletion, protection and assistance obligations are not restricted by this. The handling of backup copies is governed by the agreed data processing agreement and the statutory requirements.
Contract, invoice and necessary security records for which Reclyra itself is responsible are handled separately from applicant content according to the respective purpose and the statutory obligations.
16. Defects and liability
The statutory rights apply to defects. Reclyra is liable without limitation for intent and gross negligence, for damage arising from injury to life, body or health, under the German Product Liability Act, to the extent of expressly assumed guarantees, in the event of fraudulent concealment of a defect and insofar as liability cannot be effectively limited by law.
In the event of a slightly negligent breach of an essential contractual obligation, Reclyra is liable for the foreseeable damage typical for the contract at the time the contract was concluded. Essential obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely. Otherwise, liability for slight negligence is excluded. No additional monetary cap on liability is agreed.
These limitations also apply in favour of Reclyra's legal representatives, employees and vicarious agents. Mandatory claims of data subjects, in particular under data protection law, remain unaffected.
If the customer culpably fails to use a contractually provided and reasonable export or backup option, the restoration costs recoverable under these rules may be limited to the costs that would have been incurred with proper use. Reclyra's own statutory and contractual backup, availability, security, deletion and restoration obligations as well as its obligations as a processor remain in place.
The customer reports recognisable disruptions with the information necessary for the review and enables reasonable troubleshooting. The reference to possible errors in AI outputs does not limit statutory claims arising from a breach of duty for which Reclyra is responsible.
17. Contract amendments, governing law and contact
Amendments to these Terms for existing contracts require a valid agreement. Individual agreements remain paramount. The publication of a newer version does not replace any required consent.
German law applies insofar as mandatory statutory provisions do not preclude this. Jurisdiction is governed by the statutory rules. If a provision is invalid, its replacement is governed by the statutory provisions; the remaining provisions continue to apply in accordance with the law.
General contract questions can be sent to hello@reclyra.app, termination and billing questions to billing@reclyra.app, and support and export requests to support@reclyra.app. The data protection contact is privacy@reclyra.app. Text form is sufficient for declarations unless a stricter form is required by law.
